Accepting the Terms
These Terms of Service (“Terms”) are a legal agreement between NovaSonic Interactive Limited and its affiliate company (“NovaSonic” or “we”) and you (“user” or “you”). By using or accessing any NovaSonic game or application (“Service”), you agree to be bound by these Terms. By accessing or using the Service, you affirm that you have read, understood, and accepted to be bound by the Terms. NovaSonic reserves the right, in its sole discretion, to modify or revise these Terms at any time, and you agree to be bound by such modifications or revisions. If you do not agree to the Terms, please do not use the Service.
Users are responsible for periodically reviewing the Terms. Your continued use of the Service after changes or updates have been made will constitute your acceptance of the revised Terms. If you do not agree to the Terms, your only recourse is to discontinue your use of the Service and cancel any accounts you have created using the Service.
If you violate the Terms, NovaSonic reserves the right to issue a warning regarding the violation or to immediately terminate or suspend any or all accounts you have created using the Service. You agree that NovaSonic is not obligated to provide you with notice before terminating or suspending your account(s), but it may choose to do so.
In case of violation of the Terms or other rules of NovaSonic, NovaSonic reserves the right to deny any user access to the Services without notice. You agree that NovaSonic may discontinue the Service or change its content at any time, for any valid reason, with or without notice to you, and without liability.
You represent that you are 13 years old or older. If you are between the ages of 13 and 18, you represent that your legal guardian has reviewed and agrees to these Terms.
Intellectual Property/Ownership
All content comprising the Service (including, but not limited to, designs, text, graphics, pictures, video, information, applications, software, music, sound, and other files, as well as their arrangement) is legally protected against unauthorized use.
The entire content of the Service is safeguarded under the copyright laws of the Hong Kong Special Administrative Region, China, and applicable laws in other jurisdictions.
You agree that no part of the Service’s content may be altered, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, transmitted, or sold in whole or in part, or otherwise exploited without the express prior written permission of NovaSonic, except for your own User Content (as defined below) that you lawfully post on the Site. Any other use of copyrighted material, including derivative works, requires NovaSonic’s express prior written consent. Unauthorized reproduction or redistribution of materials contrary to these Terms is expressly prohibited and may result in severe civil and criminal penalties.
NovaSonic and/or its licensors retain all rights, title, and interest, including copyrights and other intellectual property rights, in all materials posted on the Services by NovaSonic. By using the Service or accessing any materials posted on it by NovaSonic or any derivative works thereof, you acknowledge that you do not acquire any ownership rights.
NovaSonic grants you a personal, non-exclusive, non-transferable, revocable, limited license to use the Service solely for viewing and utilizing the applicable Services and for no other purpose. Your use of the Services is subject to these Terms.
Rules of Conduct/Usage
The NovaSonic Service may include communication channels such as forums, communities, or chat areas (“Communication Channels”) intended for interacting with other Service users. These Communication Channels are established as part of the service operation, and NovaSonic reserves the right to modify, manage, control, and/or terminate all or part of the channels. NovaSonic is not obligated to monitor these Communication Channels but reserves the right to review materials posted there and to remove any materials at any time, with or without notice, at its sole discretion.
NovaSonic may also terminate or suspend your access to any Communication Channels at any time, without notice, subject to the rules or Terms of the communication channels. You acknowledge that chats, postings, or materials posted by users on the Communication Channels are not endorsed or controlled by NovaSonic, and NovaSonic shall not be liable for any activity within Communication Channels.
You agree that all your communications within the Communication Channels are public, and therefore you have no expectation of privacy regarding your use of the Communication Channels. NovaSonic is not responsible for any information you choose to share on the Communication Channels or for the actions of other users.
You agree to use the Service lawfully and comply with the usage rules. As an example, and not as a limitation, you agree not to use the Service to:
· Defame, libel, ridicule, mock, stalk, threaten, harass, intimidate, or abuse anyone hatefully, racially, ethnically, or in a manner that a reasonable person would find offensive or objectionable.
· Post, upload, transmit, or otherwise disseminate information that is obscene, indecent, vulgar, pornographic, sexual, or otherwise objectionable.
· Impersonate another person, falsely indicate that you are a NovaSonic employee or representative, or mislead users by suggesting that you represent NovaSonic in any way.
· Upload or transmit files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files or data, or any other software or programs that may damage the operation of the Service or other users’ computers.
· Violate the contractual, personal, intellectual property, or other rights of any party, including using, uploading, transmitting, distributing, or otherwise making available any information through the Service in a manner that infringes any copyright, trademark, patent, trade secret, or other right of any party (including rights of privacy or publicity).
· Post messages for any purpose other than personal communication, including advertising, promotional materials, chain letters, pyramid schemes, political campaigning, mass mailings, spam, or making any commercial use of our offerings.
· Post or communicate any player’s real-world personal information within a NovaSonic service or via or through a NovaSonic service or any related bulletin board.
· Interfere with or circumvent any security feature or restriction on use or access to the NovaSonic Service.
· Improperly use support channels or complaint buttons to make false reports to NovaSonic.
· Develop, distribute, or inform other members about “auto” software programs, “macro” software programs, or other “cheat utility” software programs or applications in violation of applicable License Agreements.
· Attempt to obtain passwords or other private information from other members.
· Violate any applicable laws or regulations, or promote or encourage any illegal activity, including hacking, cracking, distribution of counterfeit software, or cheats or hacks for the Service.
· Exploit, distribute, or inform other members about any game error, miscue, or bug that provides an unintended advantage.
· Engage in cheating or any other activity that NovaSonic considers to be contrary to the spirit of the Service.
User Content
By using technology and tools provided by NovaSonic, you agree to willingly publish content on the Service. You understand and agree that without explicit written permission from NovaSonic, you may not distribute, sell, transfer, or license this content or application in any manner, in any country, or on any social network or other medium.
Any data, text, graphics, photographs, and their selection and arrangement (referred to as “User Content”) uploaded to the Service may be subject, in whole or in part, to unrestricted commercial, non-commercial, and/or promotional use by NovaSonic. User Content, including text, graphics, and photographs, is uploaded by users and remains the sole responsibility of the originator. Therefore, users are accountable for any files they upload, post, or otherwise make available, and NovaSonic assumes no responsibility. NovaSonic may or may not monitor User Content and does not guarantee its accuracy, quality, or integrity. By using NovaSonic, you acknowledge and accept that you may encounter material that you find offensive or objectionable. You agree that NovaSonic will not be liable under any circumstances for any User Content, including errors in any User Content or any loss or damage resulting from the use of User Content.
NovaSonic reserves the right to remove and permanently delete any User Content from the Service, with or without notice.
Virtual Currencies/Goods
The NovaSonic Service may offer you the chance to purchase virtual, in-game currency (“Virtual Currency”) that requires payment with real money. Virtual Currency cannot be exchanged for real money, goods, or any other monetary value from NovaSonic or any third party.
Your purchase of Virtual Currency is final, non-refundable, non-exchangeable, and non-transferable, except at NovaSonic’s sole discretion. Buying, selling, or exchanging Virtual Currency outside the Service or NovaSonic’s designated transaction platform violates the Terms and may lead to account termination or legal action.
NovaSonic reserves the right to modify, manage, control, and/or eliminate the type, nature, or value of Virtual goods at its sole discretion. Prices and availability of virtual game goods are subject to change without prior notice.
NovaSonic may offer various payment channels, including access to third-party platforms, to diversify payment options. These payment channels may be adjusted periodically at NovaSonic’s discretion.
Your personal information, including account and password top-up records, will be securely maintained within the Service. Please ensure the Service operates in a safe environment to prevent any potential loss.
Modifying, Suspending, and Terminating our Services
NovaSonic is continuously evolving and improving its Services. We may add or remove functionalities, features, or suspend or discontinue a Service altogether.
· In the event of Service suspension due to system maintenance or upgrades, NovaSonic will make reasonable efforts to provide advance notice to users.
· NovaSonic reserves the right to immediately terminate the Service in cases of violation of social norms, applicable laws, or regulations.
· Accounts inactive for more than 90 consecutive days can be deactivated by NovaSonic.
· For violations of NovaSonic’s Terms or rules, measures may include temporary isolation, suspension, or deactivation of accounts, or termination or suspension of Service access.
· Except as mentioned above, NovaSonic reserves the right to suspend or terminate all or part of the Service with 15 days’ prior notice. However, in unforeseeable circumstances, prior notice may not be feasible. In such cases, NovaSonic is not liable for any loss incurred by users or any third party due to Service suspension or termination.
Disclaimer of Warranty; Limitation of Liability
NovaSonic does not guarantee the Service will fully meet your requirements; or the Service will be uninterrupted, timely, secure, or error-free.
You agree that your use of the Service is at your own risk. To the maximum extent permitted by law, NovaSonic, its officers, directors, employees, and agents disclaim all warranties, express or implied, regarding the website and your use thereof, including warranties of title, merchantability, fitness for a particular purpose, non-infringement, accuracy, authority, completeness, usefulness, and timeliness.
NovaSonic makes no warranties or representations regarding the accuracy or completeness of the Service’s content or the content of any linked medium, and assumes no liability or responsibility for any (i) errors or inaccuracies in content, (ii) personal injury or property damage resulting from your access to and use of the Service, (iii) unauthorized access to or use of our secure servers and/or any personal or financial information stored therein, (iv) interruption or cessation of transmission to or from the Service, (v) bugs, viruses, trojan horses, or similar which may be transmitted to or through the Service by any third party, or (vi) errors or omissions in any content or for any loss or damage of any kind incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available via the Service.
In no event shall NovaSonic, its directors, officers, agents, contractors, partners, or employees be liable to you or any third party for any special, direct, indirect, incidental, punitive, or consequential damages whatsoever, including any lost profits or lost data arising from your use of the Service or other materials on, accessed through, or downloaded from the Service, whether based on warranty, contract, tort, or any other legal theory, even if NovaSonic has been advised of the possibility of such damages. This limitation of liability applies to the fullest extent permitted by law in the applicable jurisdiction. You acknowledge that NovaSonic shall not be liable for user submissions or the defamatory, offensive, or illegal conduct of any third party, and that any risk associated with the foregoing rests entirely with you.
You agree to indemnify and hold NovaSonic, its directors, agents, contractors, partners, and employees harmless from and against any loss, liability, claim, demand, damages, costs, and expenses, including reasonable attorney’s fees, arising out of or in connection with (i) your use of and access to the Service, (ii) your violation of these Terms of Service, (iii) your violation of any third-party rights, including without limitation any copyright, property, or privacy right, (iv) any claim that your User Content caused damage to a third party, or (v) any content you post or share on or through the Service.
APPLICABLE LAW AND JURISDICTION
Your use of the Service signifies your agreement that these Terms of Service, along with any disputes or claims arising between you and NovaSonic, shall be governed by the laws of the Hong Kong Special Administrative Region, China, without regard to conflict of laws principles or your location. Any dispute, claim, or controversy arising in connection with your use of the Service shall be exclusively decided by a competent court located in the Hong Kong Special Administrative Region, China. You consent to this jurisdiction and waive any defenses regarding lack of personal jurisdiction or inconvenient forum concerning venue and jurisdiction in the Hong Kong Special Administrative Region, China.
NovaSonic Interactive Limited retains the right to modify these Terms of Service at any time without prior notice, and it is your responsibility to regularly review them for any changes. Your continued use of Service after any revisions to these Terms of Service indicates your agreement to and acceptance of the updated terms.
You and NovaSonic Interactive Limited agree that any claim or dispute arising from or related to the Service must be initiated within two (2) years after the cause of action arises. Otherwise, such claim or dispute is permanently waived.
